These Terms of Service ("Terms") govern your access to and use of the website https://www.subhound.com and the related software and services (collectively, the "Service"), operated by Mad Manners Ltd ("we," "us," or "our"). The Service is offered under the brand name "SubHound"

1. Agreement to Terms

By creating an account, accessing or using the Service, or making a purchase, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the Terms, you may not access the Service. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. The Service

2.1. Description: SubHound is a software-as-a-service platform designed to help users track, manage, and gain insights into their recurring subscriptions and payments. The Service is an organisational tool to help you monitor your spending.

2.2. Data Accuracy and No Financial Advice: You are solely responsible for the accuracy and completeness of the subscription data (e.g., service names, payment dates, amounts) that you enter into the Service. The Service is an organisational tool and does not link directly to your bank accounts or payment providers to verify this data. We provide no financial, tax, or legal advice. Any insights, totals, or reminders provided by the Service are based on the data you provide. We are not liable for any financial loss, missed payments, or unintended subscription renewals resulting from inaccurate data entered by you or your reliance on the Service.

2.3. No Guarantee of Alerts or Notifications: The alert and notification features of the Service are provided as a convenience. We are dependent on third-party service providers (such as email delivery services) to transmit these alerts. We do not warrant or guarantee the successful, timely, or complete delivery of any alert or notification. You acknowledge that alerts may be delayed, blocked by spam filters, or fail to be delivered for reasons outside of our reasonable control. You agree that you will not hold us liable for any damages, losses, or costs (including late fees or unintended subscription renewals) arising from a failed, delayed, or undelivered alert. It remains your sole responsibility to manage your subscriptions independently of the Service's notifications.

2.4. Licence: We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business financial management, in accordance with these Terms.

3. User Accounts

Eligibility: You must be at least 18 years of age to use the Service.

Account Security: You are responsible for safeguarding your account login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

Accurate Information: You agree to provide and maintain true, accurate, and complete information as part of the registration and account management process.

4. Subscriptions, Payments, and Renewals (For the SubHound Service)

Subscriptions: Access to certain features of the Service requires a paid subscription ("Subscription").

Billing: You authorise us and our third-party payment processor (Stripe) to charge your chosen payment method on a recurring basis for your selected Subscription term. The prices displayed for the Service are inclusive of UK Value Added Tax (VAT), where applicable. For sales to customers in other jurisdictions, you are responsible for any other applicable taxes, duties, or governmental charges. Where we are legally required to collect such taxes on your behalf, the corresponding amount will be added to your bill.

Automatic Renewal: YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING CYCLE FOR A FURTHER TERM OF THE SAME DURATION, AT THE THEN-CURRENT PRICE, UNLESS YOU CANCEL YOUR SUBSCRIPTION PRIOR TO THE RENEWAL DATE.

Cancellation: You may cancel your Subscription at any time through your account settings dashboard. The cancellation will become effective at the end of your current paid term, and you will not be charged again.

Refund Policy: Subscription fees are non-refundable. We are under no obligation to provide refunds or credits for any partial subscription periods or unused services. Any refund or credit that we may provide will be at our sole and absolute discretion.

Price Changes: We reserve the right to change our Subscription prices. We will provide you with reasonable prior notice of any price changes. Your continued use of the Service after a price change constitutes your agreement to pay the new price.

4.1. Free Trial: We may offer a free trial for a specified period (e.g., 30 days). No payment method is required to start the trial. During the trial, you will have access to the full features of the Service. At the end of the trial period, your account will automatically convert to a restricted, "view-only" mode. To regain full access and continue using the Service, you must actively purchase a paid Subscription and provide a valid payment method. You will not be automatically charged.

5. Intellectual Property Rights

The Service and its entire contents, features, and functionality (including all software, code, text, graphics, and logos) are the exclusive property of SubHound and its licensors and are protected by United Kingdom and international copyright, trademark, and other intellectual property laws.

6. User Content and Feedback

6.1. Ownership of Your Data: You retain full ownership of all data and content that you submit into the Service ("User Content"). You grant us a limited licence to host and process your User Content solely for the purpose of providing the Service to you.

6.2. Feedback: If you provide us with any ideas or suggestions concerning the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate such Feedback into our Service without any compensation or obligation to you.

7. Acceptable Use Policy

You agree not to use the Service to:

Engage in any activity that is unlawful, fraudulent, or malicious.

Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Service.

Use any automated means to access the Service in a manner that places an excessive load on our infrastructure.

Attempt to gain unauthorised access to our systems or other user accounts.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including for a breach of these Terms. Upon termination, your right to use the Service will cease. Provisions that by their nature should survive termination shall survive.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SUBHOUND BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING ANY FINANCIAL LOSSES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED POUNDS STERLING (£100) OR THE TOTAL FEES PAID BY YOU TO US IN THE PRECEDING TWELVE (12) MONTHS.

11. Indemnification

You agree to defend and indemnify SubHound from any claims, liabilities, and expenses arising out of your use of the Service or your violation of these Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of these Terms.

13. General Provisions

Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date.

Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations under these Terms at our discretion, including in connection with a merger or sale of our business.

Entire Agreement: These Terms constitute the entire agreement between you and SubHound concerning the Service.

Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.
